Required regulatory disclosures for all users of the PepNationRX Platform.

MSO and Billing Agent Disclosure

This disclosure is required under applicable state and federal healthcare regulations governing Management Services Organizations (MSOs).

PepNationRX (owned and operated by PIQ Training Inc., an Illinois corporation) is a technology platform and Management Services Organization. PepNationRX provides administrative, operational, and technology management services to independent, licensed medical practices and healthcare providers.

PepNationRX is NOT a healthcare provider, medical group, physician, or pharmacist. PepNationRX does not practice medicine, does not diagnose conditions, does not prescribe medications, and does not dispense drugs.

All clinical services — including telehealth consultations, diagnoses, treatment recommendations, and prescriptions — are provided exclusively by independent, licensed physicians, nurse practitioners, and other licensed clinicians who practice medicine through their own licensed professional corporations or professional limited liability companies (PC/PLLCs) in the states where they are licensed.

All compounded medications are dispensed by independent, licensed 503A compounding pharmacies that are separately licensed by applicable state pharmacy boards.

PepNationRX acts as the designated billing agent for the licensed medical practice that is the Merchant of Record for each patient subscription. When a charge appears as "PEPNATIONRX.COM" on your payment statement, it reflects this administrative billing-agent arrangement on behalf of the independent medical practice. PepNationRX does not retain the full amount charged; fees are allocated between the medical practice, independent providers, and PepNationRX's management services fee pursuant to a Management Services Agreement.

Corporate Practice of Medicine Compliance

Many U.S. states prohibit corporations from owning medical practices or controlling clinical decisions, a doctrine known as the Corporate Practice of Medicine (CPOM). PepNationRX is structured in compliance with CPOM laws in all states where it operates:

FDA Compounding Drug Disclosure

This disclosure is required by the FDA's compounding regulatory framework under Section 503A of the Federal Food, Drug, and Cosmetic Act (FD&C Act).

Compounded medications are NOT FDA-approved. Unlike commercially manufactured drugs that go through the FDA's New Drug Application (NDA) process, compounded medications have not been evaluated by the FDA for safety, effectiveness, or quality. This means:

The compounding pharmacies that fulfill prescriptions through our Platform are licensed by applicable state pharmacy boards and operate in compliance with Section 503A of the FD&C Act and U.S. Pharmacopeia (USP) Chapters <795> and <797> for non-sterile and sterile compounding, respectively.

Patients should discuss the risks and benefits of compounded medications with their independent healthcare provider before proceeding with treatment.

Anti-Kickback and Referral Compliance

PepNationRX is committed to compliance with the Federal Anti-Kickback Statute (42 U.S.C. § 1320a-7b(b)), the Stark Law (42 U.S.C. § 1395nn), and all applicable state anti-kickback and self-referral laws.

PepNationRX's compensation arrangements with affiliated medical practices, independent providers, and pharmacies are structured to comply with applicable law, including the Safe Harbor regulations under the Anti-Kickback Statute. PepNationRX does not pay or receive remuneration as an inducement for patient referrals. Compensation to PepNationRX from affiliated medical practices is a fixed management services fee that does not vary based on the volume or value of services rendered to patients.

Affiliated providers are not required to refer patients to any particular pharmacy, laboratory, or other healthcare provider. Patients retain the right to use any licensed pharmacy or healthcare provider of their choice.

Not Insurance; HSA/FSA Eligibility

PepNationRX is not an insurance product. Subscriptions and payments through the Platform are cash-pay healthcare service fees. PepNationRX does not accept health insurance for any service. We do not file claims with Medicare, Medicaid, or private insurance carriers on your behalf.

Telehealth consultations and certain prescription medications may be eligible for reimbursement through Health Savings Accounts (HSAs) or Flexible Spending Accounts (FSAs). However, eligibility depends on your specific plan rules and the nature of the services or products purchased. PepNationRX does not provide tax or benefits advice. Consult your HSA/FSA plan administrator or a tax advisor to determine eligibility.

State Availability and Licensing

The availability of telehealth services through PepNationRX depends on state licensing requirements for healthcare providers. Not all treatments are available in all states. Independent providers are licensed in the states where they practice, and services are available only to patients located in those states at the time of the consultation.

PepNationRX makes no representation that the Platform is appropriate or available for use in all jurisdictions. If you access the Platform from outside the United States or from a state where services are not available, you do so at your own initiative and risk.
